GENERAL TERMS AND CONDITIONS OF SALE

1) GENERAL TERMS AND CONDITIONS OF SALE

TPZ Italia (hereinafter also referred to as the “Seller”) offers its products for sale through the website tpzitalia.com, operating exclusively within the context of e-commerce aimed at end users (hereinafter referred to as “Consumers” or “Users”).

TPZ Italia is a trademark owned by the company Giovanni Crupi S.r.l., VAT number IT03072120839. For the purposes of this contract, the term “TPZ Italia” will be used to refer to the Seller.

In accordance with its commercial policy, the Seller reserves the right not to process orders from parties other than Consumers, or from orders that do not comply with the principles and objectives of its business strategy.

These General Terms and Conditions of Sale exclusively govern the offer, submission, and acceptance of purchase orders for the products available on the website tpzitalia.com, and apply only to contractual relationships between the Users of the site and the Seller.

These conditions do not apply to the provision of services or the sale of products by third parties who may be present on the site through links, advertising banners, or other hyperlinks. In such cases, Users are encouraged to consult the terms and conditions of sale adopted by such third parties before placing orders or making purchases.

The Seller shall not be held responsible in any way for the provision of services or sale of goods by third parties, nor shall it be liable for the conclusion of e-commerce transactions between Users of tpzitalia.com and third parties.

2) HOW TO CONCLUDE A CONTRACT WITH TPZ Italia

To conclude a purchase contract for one or more products on tpzitalia.com, the User must fill out the electronic order form and send it to the Seller via telematic means, following the instructions provided on the site.

The order form includes a link to the General Terms and Conditions of Sale and provides a detailed summary of the following information:

• the essential characteristics of each product ordered;
• the corresponding price, including taxes and applicable duties;
• the available payment methods;
• the delivery methods and the related shipping costs;
• the conditions for exercising the right of withdrawal, including the procedures and timing for returning purchased products.

The purchase contract is deemed concluded when the Seller receives the electronic order form and verifies that the order data is correct.

Before submitting the order form, the User will be asked to:

• carefully read these General Terms and Conditions of Sale and the Withdrawal Policy;
• check for and correct any errors in the entered data, if necessary.

The order form will be stored in the Seller’s database for the time necessary to process the order and in accordance with applicable laws.

The language available for concluding the contract is Italian.

Once the contract is concluded, the Seller will process the purchase order.

The Seller reserves the right not to process orders that:

• do not offer sufficient guarantees of solvency;
• are incomplete or contain incorrect data;
• relate to products that are no longer available.

In such cases, the Seller will notify the User via email that the contract has not been concluded and that the order has not been accepted, specifying the reasons.

If the ordered products are no longer available or on sale at the time of the last site access or order submission, the Seller undertakes to notify the User promptly and, in any case, within ten (10) days from receipt of the order. If payment has already been made, the Seller will refund the full amount paid.

By submitting the electronic order form, the User declares to accept these General Terms and Conditions of Sale unconditionally and agrees to comply with them in dealings with the Seller. If the User does not agree with one or more of these conditions, they are invited not to submit the order.

Once the contract is concluded, the User will receive a confirmation email containing a summary of the information already present in the order form.

3) PRODUCT USE, USAGE WARNINGS AND DISCLAIMER OF LIABILITY

The products subject to this sale contract, as well as all products designed, manufactured and/or sold by TPZ Italia, are intended exclusively for competitive use or for use on private areas.

Any use of the products on motor vehicles intended for circulation on public roads is expressly subject to obtaining all required authorizations under current legislation. These authorizations include, but are not limited to, registration, approval, and/or certification by the relevant authorities.

By accepting these General Terms and Conditions of Sale, the Customer declares:

• to be fully aware of the limitations and conditions of use outlined above;
• to expressly accept them;
• to understand the risks associated with any improper use of the products.

Therefore, if the products are used in a manner that differs from the indications provided (e.g. for non-competitive use or on public roads without the necessary authorizations), TPZ Italia declines all liability for any damages, of any kind, that may occur to the Customer and/or third parties.

4) EXPORT REGULATIONS – BUYER’S OBLIGATIONS

The Buyer declares and guarantees to TPZ Italia that they will fully comply with all local, national, and international regulations regarding export controls, international sanctions, and related laws, including—but not limited to—those issued by the United Nations, the European Union (and its Member States), and the United States of America (collectively referred to as “Export Laws”).

In particular, the Buyer undertakes to:

• not resell, transfer, or deliver the products, directly or indirectly:
• to parties located in the Russian Federation or other territories where sales are prohibited under Export Laws;
• to parties who, in the Buyer’s judgment or based on reasonable suspicion, may in turn resell or transfer the products to such territories;
• not transit the products through restricted territories;
• not transfer the products, directly or indirectly, to individuals or entities that:
• appear on sanction lists issued by the EU or the US;
• are owned, controlled by, or act on behalf of sanctioned entities;
• are involved in activities prohibited by export control regulations.

The Buyer agrees to indemnify and hold TPZ Italia harmless from any loss, damage, claim, sanction, cost, expense, or liability arising directly or indirectly from the violation of the above provisions and/or the Export Laws.

TPZ Italia reserves the right to suspend, interrupt, or immediately terminate any commercial relationship with the Buyer in the event of non-compliance with these terms.

5) WARRANTY AND PRODUCT PRICING

Only high-quality branded products made entirely in Italy are offered for sale on tpzitalia.com. Products are either designed and/or manufactured by TPZ Italia or sourced from carefully selected manufacturers and resellers that meet strict quality criteria.

The Seller does not sell used, irregular, or lower-quality products that do not meet current market standards. The items listed on tpzitalia.com are predominantly made from synthetic materials; therefore, small imperfections, streaks, or color variations should be considered normal tolerances of craftsmanship. Returns will not be accepted for such features, as they are expressions of artisanal quality.

The essential characteristics of each product are described within the respective product pages. However, images and colors shown on the site may not perfectly correspond to reality due to the settings of the user's devices, monitors, and applications.

Product prices are subject to change. Customers are therefore advised to always check the final sale price before submitting the order form.

All products sold by TPZ Italia are considered artisanal, so slight differences between one item and another are normal and do not constitute defects.

Embroidery and Logos

Embroidery featuring motorcycle brand logos is provided directly by the Customer. The company only performs the stitching of the logo onto the seat cover. The price shown on the product page refers exclusively to the labor involved in sewing the logo, not to the provision of the logo itself.

By purchasing, the Customer agrees to this condition and undertakes to provide the logo after placing the order. TPZ Italia assumes no legal responsibility for disputes related to the use of protected trademarks.

If the Customer requests custom logos not included in the collection, a one-time additional fee of €30 per logo will apply.

Right of Withdrawal

In the event of exercising the right of withdrawal, the Seller reserves the right not to accept the return of products that:

• have been altered in their essential or qualitative characteristics;
• are damaged or have been installed.

The Seller will verify that all conditions for the return are met. If even one of these conditions is not satisfied, no refund will be issued, and the product will be returned to the Customer, with shipping costs at their expense.

Waterproofing and Water Infiltration

All TPZ Italia seat covers are designed and manufactured with internal seam taping to limit the risk of water infiltration. However, due to the presence of multiple structural seams required for the product's design and ergonomics, total waterproofing cannot be guaranteed.

Despite the measures adopted, under certain conditions (heavy rain, high-pressure washing, prolonged water exposure), infiltrations may occur. With this statement, TPZ Italia declines any responsibility for disputes relating to this matter, having provided clear information within these General Terms and Conditions of Sale.

For additional protection, TPZ Italia offers a dedicated waterproof cover, designed for use:

• in case of rain,

• during motorcycle washing,

• or in aggressive environments (salt, sand, dust, etc.).

This cover is made from seamless, water-repellent material, specifically designed to fully block the ingress of water and external agents.

The waterproof cover can also be used while riding, but we recommend not exceeding 50 km/h to ensure its stability and effectiveness.

Memory Foam – Comfort System

The comfort seats made by TPZ Italia include a 2.5 cm Memory Foam layer, composed of gradual-density latex sponge, integrated into the seat covers identified under the name COMFORT SYSTEM. This system is designed to significantly improve seating quality and reduce fatigue during riding, even over long distances, without altering the original seat structure.

The feeling of comfort is generally noticeable from the very first uses. However, in some cases, the body may require a short adaptation period. For this reason, we recommend testing the seat for at least 500 km before making a final judgment.

It is important to note that comfort perception is subjective and may vary depending on several factors, such as:

• external temperature;
• type of clothing worn;
• the weight and build of the rider and/or passenger.

Therefore, complaints related to subjective perceptions, such as coccyx or lower back pain or other personal discomforts, are not accepted, as these do not constitute product defects and do not entitle the Customer to returns or replacements.

If the comfort cover has been installed directly by TPZ Italia on the Customer's seat, being a handcrafted and customized product, no return requests will be accepted regarding perceived comfort issues.

If the Customer has purchased only the cover to install independently, we strongly recommend testing it on the original seat before final installation. In rare cases, the sensation of comfort may not match individual expectations.

Warranty

All products sold on tpzitalia.com are covered by a 2-year legal warranty, in accordance with applicable law.

6) PAYMENTS

To pay for the products and the related shipping and delivery costs, the User may use one of the payment methods indicated in the order form, selecting the preferred option among those made available by TPZ Italia.

In the case of payment by credit or debit card, financial information (such as card number, expiration date, etc.) will be securely transmitted via encrypted protocol (e.g., Verified by Visa, Mastercard SecureCode) to banks or third-party service providers authorized to handle remote electronic payments.

Such data will not be accessible to third parties and will never be used by the Seller for purposes other than managing the purchase, issuing refunds in the case of returns or exercising the right of withdrawal, or when necessary, reporting suspected fraud to the competent authorities.

The amount related to the purchase of the products, including shipping and delivery costs, as specified in the order form, will be charged directly to the User’s selected payment method at the time of order confirmation.

7) DISCOUNT COUPONS

Discount coupons are personalized promotional codes that allow the User to benefit from discounts on purchases made exclusively on the website tpzitalia.com.

The use of a coupon is subject to the specific conditions provided at the time of its issuance, including possible restrictions regarding validity, minimum order value, excluded product categories, or other limitations.

In no case can the value of the coupon be converted into cash, nor refunded, even partially, in the event of non-use before the expiration date or in the event of order cancellation.

8) SHIPPING AND DELIVERY OF PRODUCTS

We invite you to pay close attention to the information provided in the “Shipping and Delivery” section of the website, as it forms an integral and substantial part of these General Terms and Conditions of Sale. This information is considered fully known and accepted at the time the order form is submitted.

The delivery times indicated on tpzitalia.com are generally respected by the Seller. However, delays may occur due to reasons beyond the control of TPZ Italia, such as:

• temporary shortage of materials;
• delays caused by the courier;
• extraordinary or unforeseeable events (strikes, weather conditions, logistical emergencies, etc.).

In such circumstances, delivery times may be extended up to a maximum of 15 working days (or more in cases of force majeure).

By placing the order, the Customer expressly accepts the possibility of such delays and waives the right to withdraw from the contract for reasons solely related to delivery delays.

9) RIGHT OF WITHDRAWAL

If the Customer is not satisfied with the purchased products, they have the right to withdraw, in whole or in part, from the purchase contract without penalty and without the need to provide any reason, in accordance with Legislative Decree no. 206 of 6 September 2005 (Consumer Code).

To exercise the right of withdrawal, the Customer must send, within 14 working days from the date of receipt of the goods, a written notice via email to the following address:

Conditions for correctly exercising the right of withdrawal:

• The product must be intact, unused, and complete in all its parts.
• The return must be made in the original packaging in which the product was received.
• The return must include all shipped components: product, installation manual, any accessories or promotional items.
• The absence, even partial, of any of the above components entitles the Seller to refuse the refund.
• The return must be made at the Customer’s expense using a trackable shipping method.
• The product must be returned no later than 14 days from the date the Customer notified their intention to withdraw.
• The right of withdrawal cannot be exercised on customized or made-to-order products, in accordance with Article 59 of the Consumer Code.

Refund:

Once the returned product has been received and verified, TPZ Italia will refund the amount paid by the Customer within 14 days from the receipt of the withdrawal notice, using the same payment method used for the purchase, unless otherwise agreed.

In accordance with current legislation, unless otherwise provided by law, the refund will not include the initial shipping costs paid by the Seller, which will be deducted from the total refund amount.

Furthermore, if the return is made from a country outside the European Union, any customs clearance fees, taxes, or import charges incurred for the return of the goods to Italy will be borne by the Customer and deducted from the refund.

10) REFUND TIMING AND METHODS

Once the returned products are received, the Seller will carry out the necessary checks to verify that the return conditions specified above have been met.

If the checks are successful, the Seller will notify the Customer by email that the return has been accepted.

Regardless of the original payment method used by the Customer, the refund will be activated as soon as possible and, in any case, within thirty (30) days from the date on which the Seller became aware of the exercise of the right of withdrawal, provided that the return procedure has been correctly carried out and the returned products are intact.

In any case, the original shipping costs paid by the Seller—non-refundable under current law—will be deducted from the final refund amount, along with any customs charges for returns from non-EU countries.

11) BUYER'S RESPONSIBILITY

All seat covers offered by TPZ Italia are handmade artisanal products. Any slight imperfections in embroidery, stitching, or finishing must be considered normal tolerances of artisanal workmanship and do not constitute valid grounds for complaints or returns.

The product images published on the website tpzitalia.com are for illustrative purposes only and may differ slightly in color from the actual product due to the settings of the user’s display, device, or software.

The Seller commits to using materials with tones as close as possible to the original colors of motorcycles, but cannot guarantee perfect color correspondence between the displayed image and the actual material.

The Buyer has the option to request a free sample of materials prior to purchase, in order to personally verify the tone and aesthetic compatibility.

If the Buyer does not make use of this option, TPZ Italia is exempt from any responsibility regarding disputes over the color or visual appearance of the materials.

⚠️ WARNING
Seats manufactured by TPZ Italia are aftermarket products designed to improve comfort and ergonomics compared to standard OEM solutions.
Due to the use of high-performance technical materials, including Memory Foam, the seat height may be slightly higher than the original. Additionally, the shape and density of the padding may not be identical to those of the OEM seat.
These differences are to be considered design features of the product and do not constitute defects or grounds for claims, disputes, or returns.

All covers produced by TPZ Italia are designed exclusively for original (OEM) seats physically present in its warehouse.

TPZ Italia does not sell covers for models for which it does not physically possess the seat, and it only markets covers after having carried out direct installation testing to ensure perfect fit and compatibility.

Seat covers are compatible only with the standard versions specified in the product description, unless otherwise indicated. Compatibility is not guaranteed with:

• raised or lowered versions;
• comfort models;
• optional or aftermarket seats;
• other non-standard variants.

To avoid issues, the Buyer is encouraged to contact Customer Support in advance to verify compatibility with their seat.

The Buyer declares to have read and understood all of the above conditions and acknowledges that the purchased cover is intended to be installed on their original OEM seat.

The cover installation must be carried out by qualified personnel. Although it is possible to install it independently, a professional and long-lasting result cannot be guaranteed without the necessary skills, tools, and expertise. TPZ Italia strongly recommends relying on an industry professional for installation.

Structural Modifications to the Seat and Liability

If the seat cover is installed by TPZ Italia and the Customer requests structural modifications to the seat, it will be considered a handcrafted and customized product and, therefore, cannot be contested. In such cases, the Customer cannot exercise the right of withdrawal.

Any modifications such as lowering or raising the seat fall within the subjective perception of the Customer and do not constitute valid grounds for complaints. The Customer may request an additional corrective intervention, which will be carried out only by prior agreement and at the Customer’s expense.

TPZ Italia cannot be held liable, directly or indirectly, if the Customer is dissatisfied with the work performed. Any further modification will be assessed and carried out only upon explicit request and with a new estimate.

In the case of seats equipped with a heating system, the Customer declares that the device is fully functional at the time of shipment. Should any malfunction occur after the work, the Customer expressly exempts TPZ Italia from any responsibility. As a matter of company policy, TPZ Italia does not intervene on the heating element unless explicitly requested by the Customer, who assumes full responsibility for such intervention.

With this clause, TPZ Italia considers itself fully released from any liability related to structural modifications requested by the Customer and any consequences resulting from such modifications.

12) PRIVACY

Information regarding the processing of users’ personal data is available in our dedicated “Privacy” section, accessible directly from the website.

We invite you to carefully read the Privacy Policy, if you have not already done so, as it contains essential information on:

• how TPZ Italia collects and uses personal data;
• the purposes of processing;
• users’ rights regarding data protection;
• the security systems adopted to protect the information.

The Privacy Policy is considered an integral part of these General Terms and Conditions of Sale.

13) APPLICABLE LAW AND DISPUTE RESOLUTION

These General Terms and Conditions of Sale are governed by Italian law, with particular reference to:

• Legislative Decree no. 206 of 6 September 2005 (Consumer Code), especially regarding distance contracts;
• Legislative Decree no. 70 of 9 April 2003, concerning certain aspects of electronic commerce.

In the event of disputes between the Seller and one or more end users (consumers), arising from the interpretation, validity, or execution of these General Terms and Conditions of Sale, or from any legal dispute related to the purchase of products on tpzitalia.com, the court with exclusive jurisdiction shall be that of Barcellona Pozzo di Gotto (ME), Italy.

14) LOGOS AND TRADEMARKS

Logos that may be visible in product images on tpzitalia.com are shown for illustrative and informational purposes only, with the sole aim of identifying the compatible model or type of seat. Some of these logos are registered trademarks and the exclusive property of their respective motorcycle manufacturers.

TPZ Italia does not supply, reproduce, or create logos or trademarks owned by third parties.

Any logo embroidery requested by the Customer is carried out exclusively using materials provided directly by the Customer. The price indicated in the product page refers solely to the sewing labor, and does not include or imply the supply of the trademark.

By submitting graphic material, the Customer declares under their own responsibility that they are authorized to use the logo or trademark and guarantees that such use does not violate intellectual property rights, registered trademarks, or any applicable regulations.

The Customer also agrees to indemnify and hold harmless TPZ Italia from any civil, administrative, or criminal liability, damage, or legal dispute arising from unauthorized, improper, or illegal use of logos, trademarks, or distinctive signs.

15) MODIFICATION AND UPDATE

These General Terms and Conditions of Sale may be modified and updated at any time, also in light of legislative changes or changes to the services offered.

New versions of the General Terms and Conditions of Sale will be effective from the date of their publication on the website tpzitalia.com and will apply exclusively to orders placed after that date.
